Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Statlys (the "Service"), including our website, dashboard, and API. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you're agreeing to these Terms for that organization, and confirming you have authority to do so.

Description of the Service

Statlys lets you upload bank statements, automatically extracts and categorizes transactions, and provides analytics, reports, and related tools for you and, on eligible plans, the team members you invite.

Account Registration and Responsibilities

  • You must provide accurate information when creating an account and keep it up to date.
  • You're responsible for safeguarding your password and for all activity that happens under your account.
  • You must notify us promptly if you suspect unauthorized access to your account.
  • You must be legally able to enter into these Terms to use the Service.

Client Data You Upload

You're solely responsible for the bank statements, client records, and other data you upload to the Service, and for having the necessary rights and permissions (including from your own clients, where applicable) to upload and process that data through Statlys. We process this data to provide the Service to you, as described in our Privacy Policy.

Team Access

On plans that support it, you may invite team members to access specific clients under your account, with a role (viewer or editor) that determines what they can see and do. As the account owner, you're responsible for who you invite and for removing access when it's no longer needed; each member's access is scoped to what you've granted and can be revoked at any time from your Team settings.

API Access and API Keys

On eligible plans, the account owner may generate an API key providing read-only, programmatic access to that account's clients, statements, and transactions.

  • Your API key is equivalent to a password: anyone who has it can read all of the client data accessible to your account through the API, for as long as the key stays active.
  • You're responsible for keeping your API key confidential, for the systems and tools you use it with, and for any activity carried out using it, whether or not you authorized it.
  • We are not responsible for unauthorized access to your data that results from your API key being exposed, shared, or otherwise compromised on your end (for example, committed to public code, pasted into a shared document, or sent over an insecure channel).
  • You can regenerate or revoke your API key at any time from Settings; regenerating immediately invalidates the previous key.
  • We may suspend or revoke API access that we reasonably believe is being used abusively, in violation of these Terms, or in a way that threatens the security or availability of the Service.

Subscriptions, Billing, and Cancellation

Paid plans are billed in advance on a recurring basis through Stripe, our payment processor. You can view or change your plan, and cancel your subscription, from your account Settings. Except where required by law, fees already paid are non-refundable.

Acceptable Use

You agree not to:

  • Use the Service to upload data you don't have the right to process;
  • Attempt to circumvent rate limits, plan limits, or access controls;
  • Use the Service, including the API, to scrape, resell, or redistribute data outside of your own legitimate use;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service for any unlawful purpose.

Intellectual Property

The Service, including its software, design, and branding, is owned by Statlys and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks or branding. You retain ownership of the data you upload.

Disclaimers and Limitation of Liability

The Service is provided "as is," without warranties of any kind. Statlys does not provide financial, accounting, tax, or legal advice, and its analytics and categorization are provided for informational purposes only. To the fullest extent permitted by law, Statlys will not be liable for indirect, incidental, or consequential damages arising from your use of the Service, including damages resulting from unauthorized use of your account or API key.

Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if required to protect the Service or other users.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continuing to use the Service after changes take effect means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of Brazil, without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the courts of Brazil, except where applicable law requires otherwise. This does not limit any data protection or consumer rights you may have under the law of your own country of residence -- for example, the Brazilian General Data Protection Law (LGPD) for data subjects in Brazil, or applicable state privacy laws for users in the United States.
